Agreement to terms

These Terms of Service (“Terms”) form an agreement between Hookly, Inc. (“Hookly,” “we,” “us”) and the person or entity registering for or using Hookly (“you,” the “Customer”). By creating an account or using Hookly's webhook ingestion, verification, relay, and replay platform (the “Service”), you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

The service

Hookly lets you configure endpoints that receive webhook requests from third-party services (such as Stripe, GitHub, Twilio, SendGrid, Shopify, Slack, or HubSpot) or custom sources, verifies each request's authenticity, relays it to a destination URL you specify, and retains a searchable history of events that can be replayed on demand. Available features, event volume, endpoint counts, and history retention windows vary by subscription plan as described on our pricing page.

Accounts & registration

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account or team. Notify us promptly at security@hookly.dev if you suspect unauthorized access.

Subscription plans & billing

Hookly offers Starter (free), Pro, and Enterprise plans, each with different endpoint limits, monthly event allowances, and event history windows.

  • Paid subscriptions are billed in advance on a recurring monthly basis through our payment processor, Stripe, and automatically renew until cancelled.
  • You can upgrade, downgrade, or cancel a paid plan at any time from Settings → Billing; changes take effect at the start of the next billing period unless stated otherwise at checkout.
  • Fees are non-refundable except where required by law.
  • If a payment fails, we may downgrade your account or restrict access to paid features until payment is resolved, after notifying you.
  • We may change our prices with at least 30 days' notice to active subscribers; continued use after a price change takes effect constitutes acceptance.

Acceptable use

You agree not to use the Service to:

  • Send, relay, or store content that is unlawful, infringing, fraudulent, or that you don't have the right to transmit.
  • Configure an endpoint or destination URL you do not own or lack authorization to receive traffic on.
  • Attempt to interfere with, disrupt, or gain unauthorized access to the Service, other customers' accounts or endpoints, or the infrastructure supporting it.
  • Use the Service to generate excessive load intended to degrade the Service for other customers, or to circumvent rate limits or plan quotas.
  • Reverse engineer, resell, or white-label the Service without our prior written consent.

We may suspend or terminate access for violations of this section, with notice where practicable.

Your data & content

As between you and Hookly, you retain all rights to the webhook payload data, credentials, and configuration you submit to the Service (“Customer Data”). You grant us a limited license to store, process, and transmit Customer Data solely as necessary to provide the Service — verifying signatures, relaying requests, displaying event history, and enabling replay. You are responsible for ensuring you have the right to route any third-party or end-user data through Hookly. You can export or permanently delete Customer Data at any time via Settings, and deleting a team removes its endpoints, credentials, and event history as described in our Privacy Policy.

API access

API access (available on Pro and Enterprise plans) is provided via API keys you generate and are responsible for keeping confidential. You must not share API keys across untrusted parties or exceed documented rate limits. We may revoke keys used in violation of these Terms.

Service availability

We aim to keep the Service highly available and publish real-time status at /status, but the Service is provided on an “as available” basis without an uptime guarantee unless a separate written SLA has been agreed with you. We may perform scheduled maintenance and will use reasonable efforts to minimize disruption.

Intellectual property

Hookly and its licensors retain all right, title, and interest in the Service, including its software, design, and branding. These Terms do not grant you any rights to our trademarks or branding except as necessary to use the Service as intended.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that every webhook will be delivered or relayed successfully — destination servers, upstream providers, and networks outside our control can affect delivery.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold Hookly harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law, or from Customer Data you submit.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice, or immediately for serious violations (such as illegal use or abuse that threatens the Service's integrity). Upon termination, your right to use the Service ends, and Customer Data will be deleted in line with our retention practices.

Governing law

These Terms are governed by the laws of the jurisdiction in which Hookly, Inc. is incorporated, without regard to conflict-of-law principles, unless a separate signed agreement with you states otherwise.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify active account holders by email or an in-app notice before the change takes effect. The “Last updated” date above reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
